DOCS MD RCM Healthcare Outsourcing Partners INC provides direct outsourcing projects acquired from various countries' healthcare RCM practice insurance billing and Hospital special projects. We offer these projects to DOCS MD partnered companies. Our outsourcing clients are from India, Sri Lanka, Philippines, Vietnam, and Indonesia, and they are direct partners with DOCS MD RCM Healthcare Outsourcing Partners INC.

Terms & Conditions - the Basics

In the outsourcing industry, terms and conditions (T&C) play a crucial role in governing the legal relationship between outsourcing service providers and their clients. T&C should be tailored to the specific nature of each outsourcing project, outlining the rights, responsibilities, and obligations of both parties involved. It is essential to seek legal advice to ensure that the T&C effectively protect the interests of all parties, especially when operating across different jurisdictions and legal frameworks.

What to Include in the T&C Document

When creating T&C for outsourcing projects, it is important to address key issues such as project scope, payment terms, project deliverables, confidentiality and data security, dispute resolution mechanisms, termination clauses, and compliance with relevant healthcare regulations. Crafting comprehensive and clear T&C not only protects the interests of both the outsourcing service provider and the client but also fosters a transparent and trustworthy business relationship.

1. Introduction

These Terms & Conditions govern all outsourcing projects allocated, managed, or supervised by DOCS MD RCM Healthcare Outsourcing Partners INC (“DOCS MD”) to its partnered outsourcing companies (“Partner Company”). By accepting any project allocation, the Partner Company agrees to comply with the following terms.

2. Nature of Engagement

DOCS MD functions as a project acquisition and management authority that directly secures healthcare Revenue Cycle Management (RCM), insurance billing, hospital special projects, and related healthcare operational assignments from international clients.

Partner Companies are independent business entities engaged to execute assigned projects under structured operational guidelines. Nothing in this agreement shall be construed as creating an employer-employee relationship, joint venture, or partnership beyond the defined outsourcing collaboration.

3. Project Allocation

Projects are allocated based on capacity, expertise, compliance readiness, and past performance.

Allocation does not guarantee exclusivity unless specified in writing.

Project scope, timelines, deliverables, and KPIs will be defined in individual project agreements or statements of work (SOW).

DOCS MD reserves the right to reassign or withdraw projects in case of non-compliance, performance concerns, or client direction.

4. Compliance & Regulatory Requirements

All Partner Companies must:

Comply with applicable healthcare data protection laws (including HIPAA where applicable).

Maintain secure IT infrastructure and data protection standards.

Implement strict confidentiality protocols for patient and client data.

Ensure employees handling healthcare data are trained in compliance standards.

Failure to meet compliance requirements may result in immediate suspension or termination of project access.

5. Data Security & Confidentiality

All healthcare data remains the property of the originating client.

Partner Companies may not copy, distribute, store, or use data outside the authorized project scope.

Access to systems must be restricted to authorized personnel only.

Data breaches must be reported immediately to DOCS MD.

Confidentiality obligations remain in effect even after termination of the partnership.

6. Performance Standards

Partner Companies must adhere to agreed performance benchmarks, including but not limited to:

Accuracy rate requirements

Turnaround time (TAT)

Denial reduction targets

AR recovery performance

Documentation quality standards

DOCS MD reserves the right to conduct audits and quality reviews.

7. Payment Terms

Payment structure will be defined per project (fixed fee, revenue share, per-claim, per-chart, or milestone-based).

Payments are released upon successful completion of defined deliverables and performance review.

Any penalties or deductions due to compliance violations, errors, or missed KPIs may be applied as per project agreement.

8. Non-Solicitation & Non-Circumvention

Partner Companies agree not to:

Directly approach or solicit DOCS MD clients.

Circumvent DOCS MD to obtain projects independently from introduced clients.

Share client information with third parties without authorization.

This clause remains valid during the partnership and for a defined post-termination period as per agreement.

9. Intellectual Property

All workflows, SOPs, training materials, reporting formats, dashboards, and structured frameworks provided by DOCS MD remain the intellectual property of DOCS MD. Partner Companies may not replicate or distribute these materials without written consent.

10. Termination

DOCS MD reserves the right to suspend or terminate project access under the following conditions:

Breach of confidentiality

Non-compliance with regulatory standards

Repeated performance failures

Fraudulent activity or misrepresentation

Failure to meet contractual obligations

Termination may be immediate in cases involving data security or legal violations.

11. Limitation of Liability

DOCS MD shall not be held liable for indirect losses, business interruption, or consequential damages arising from project execution beyond agreed contractual scope.

12. Governing Law

All agreements shall be governed by the applicable jurisdiction as specified in the project contract.

13. Amendments

DOCS MD reserves the right to modify these Terms & Conditions at any time. Updated terms will be published on the official website and shall take effect immediately upon publication unless otherwise stated.
